Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AgencyOS platform, available at agency.aio.fm, operated by AIO Media LLC ("AIO Media," "we," "us," or "our"). By accessing or using AgencyOS, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the platform.

AgencyOS is a business-to-business software-as-a-service platform designed for creative studios, agencies, and production companies. These Terms apply to the organization that subscribes to AgencyOS (the "Customer") and all individuals authorized by the Customer to access the platform ("Users").

1. Acceptance of Terms

By creating an account, accepting an invitation to join an organization, or otherwise accessing AgencyOS, you represent that you have the authority to bind the Customer to these Terms and that you agree to comply with them. If you are accepting on behalf of an organization, you represent and warrant that you are authorized to do so.

We may update these Terms from time to time. We will notify you of material changes by posting a notice within the platform or by email. Continued use of AgencyOS after such changes constitutes acceptance of the updated Terms.

2. Account Registration and Responsibilities

To use AgencyOS, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

The Customer is responsible for managing User access, including inviting and removing Users, assigning roles, and ensuring that Users comply with these Terms. AgencyOS supports role-based access controls, and the Customer is responsible for configuring these appropriately.

You must promptly notify us at support@aio.fm if you become aware of any unauthorized use of your account or any other breach of security.

3. Permitted Use

AgencyOS is provided for the purpose of managing creative agency operations, including but not limited to: client pipeline management, project and task tracking, team and pod organization, file management, calendar scheduling, and reporting. You may use AgencyOS only for lawful business purposes and in accordance with these Terms and our Acceptable Use Policy.

You agree not to: (a) sublicense, resell, or redistribute AgencyOS; (b) reverse-engineer, decompile, or disassemble any part of the platform; (c) use the platform to build a competing product; (d) attempt to gain unauthorized access to any part of the platform or its infrastructure; or (e) use the platform in any manner that could impair its performance or interfere with other users.

4. Customer Data and Intellectual Property

Your data: The Customer retains all rights, title, and interest in all data, content, files, and materials uploaded to or created within AgencyOS ("Customer Data"). We do not claim ownership of Customer Data. You grant us a limited license to host, store, process, and display Customer Data solely to provide and improve the platform.

Our platform: AgencyOS, including its software, design, features, documentation, and all related intellectual property, is and remains the property of AIO Media LLC. These Terms do not grant you any rights to our trademarks, logos, or branding.

Feedback: If you provide suggestions, ideas, or feedback about AgencyOS, we may use them without restriction or obligation to you.

5. Payment Terms

Access to AgencyOS may require a paid subscription. Subscription fees, billing cycles, and payment terms are set forth in the applicable order form or pricing page. All fees are quoted in U.S. dollars and are non-refundable except as expressly stated in these Terms or required by law.

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. We may change pricing with at least 30 days' notice before the start of the next billing cycle.

If payment fails or is overdue, we may suspend access to AgencyOS until the outstanding balance is resolved. The Customer is responsible for all taxes associated with the use of AgencyOS, excluding taxes based on our net income.

6. Service Availability and Support

We strive to maintain high availability of the AgencyOS platform but do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance with reasonable advance notice. Unscheduled maintenance may occur in response to security incidents or critical issues.

Support is available via email at support@aio.fm. Response times and support scope depend on your subscription plan.

7. Confidentiality

Each party agrees to maintain the confidentiality of the other party's confidential information and not to disclose it to third parties without prior written consent, except as required by law or as necessary to perform obligations under these Terms. Customer Data is treated as confidential information of the Customer.

8. Termination

Either party may terminate these Terms at any time by providing written notice. The Customer may cancel their subscription through the platform settings or by contacting us at support@aio.fm.

We may suspend or terminate your access immediately if: (a) you breach these Terms or the Acceptable Use Policy; (b) your account is used for illegal activity; (c) continued access poses a security risk to the platform or other users; or (d) required by law.

Upon termination, your right to access AgencyOS ceases immediately. We will make Customer Data available for export for 30 days following termination, after which we may delete it. Sections of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) will continue to apply.

9. Disclaimer of Warranties

AgencyOS is provided "as is" and "as available." To the fullest extent permitted by law, AIO Media LLC disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will meet your specific requirements, operate without interruption, or be free of errors or vulnerabilities.

10. Limitation of Liability

To the maximum extent permitted by applicable law, AIO Media LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or related to your use of AgencyOS, regardless of the theory of liability. Our total aggregate liability for all claims arising under or related to these Terms shall not exceed the amounts paid by the Customer to AIO Media in the twelve (12) months preceding the claim.

11. Indemnification

The Customer agrees to indemnify, defend, and hold harmless AIO Media LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) the Customer's use of AgencyOS; (b) Customer Data; (c) the Customer's violation of these Terms; or (d) the Customer's violation of any applicable law or regulation.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. Any disputes arising under or in connection with these Terms shall be resolved exclusively in the state or federal courts located in Travis County, Texas, and each party consents to the personal jurisdiction of such courts.

13. General Provisions

Entire agreement: These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and AIO Media LLC regarding AgencyOS and supersede all prior agreements.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
